Terms of Service

These Terms of Service ("Terms") govern your engagement with BRAXION TECH LLC ("the Company," "we," "us") for services in the areas of Market Research (NAICS 541910), Recruiting & Staffing Services (NAICS 561311), and Virtual Assistant & Back Office Services (NAICS 561110). By entering into a formal engagement, Statement of Work, or Master Service Agreement with BRAXION TECH LLC, you agree to be bound by these Terms.

1. Scope of Services

The specific deliverables, timelines, fees, and performance standards for each engagement are defined in a separately executed Statement of Work (SOW) or Master Service Agreement (MSA). These Terms supplement and are incorporated into all such agreements. In the event of any conflict, the terms of the SOW or MSA shall govern.

2. Payment Terms

Unless otherwise specified in a SOW, invoices are due net 15 days from the invoice date. Research projects require a 50% deposit prior to fieldwork commencement. Recruiting placements are invoiced upon the candidate's accepted start date. Virtual assistant and back office retainers are billed monthly in advance. Late payments beyond 30 days may result in service suspension.

3. Intellectual Property

All research deliverables, reports, presentations, and insights produced under a BRAXION TECH LLC engagement are the intellectual property of the client upon receipt of final payment. The Company retains the right to develop aggregate methodologies and anonymized industry benchmarks from completed work, provided no client-identifiable information is disclosed.

4. Candidate Placement Guarantee

Direct placement recruits carry a 90-day replacement guarantee. If a placed candidate voluntarily resigns or is terminated for cause within 90 days of the start date, the Company will conduct a replacement search at no additional fee, subject to the client's notification of the vacancy within 5 business days of separation.

5. Limitation of Liability

BRAXION TECH LLC's aggregate liability for any claim arising out of or related to its services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim in the 12 months preceding the claim. The Company shall not be liable for indirect, incidental, or consequential damages of any kind.

6. Governing Law

These Terms are governed by the laws of the State of Colorado. Any disputes shall be resolved by binding arbitration in Denver, Colorado, under the rules of the American Arbitration Association, unless both parties agree otherwise in writing.
